1. Introduction and Acceptance

These Terms of Service ("Terms," "Agreement") constitute a legally binding agreement between you ("User," "you," "your") and Stacknet Sp. z o.o. ("Company," "we," "us," "our," or "Veymo") regarding your use of Veymo, our Shopify application that generates product videos using artificial intelligence (the "Service" or "App").

By installing, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you may not use the Service.

2. Eligibility

2.1 Age Requirement

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms.

2.2 Authority to Bind

If you are using the Service on behalf of a business or organization, you represent and warrant that:

• You have the authority to bind that business or organization to these Terms
• You are authorized to use the Shopify store on behalf of that business or organization
• The business or organization agrees to be bound by these Terms

2.3 Shopify Account Requirement

To use the Service, you must have:

• A valid Shopify store account
• Appropriate permissions to install and use apps on your Shopify store
• Access to your Shopify store's product data and media management features

3. Description of Service

3.1 Service Overview

Veymo is a Shopify application that provides artificial intelligence-powered video generation services. The Service allows you to:

• Generate product videos from product images using AI technology
• Create videos in various durations (4, 6, or 8 seconds)
• Customize video generation settings including product type, quality, and instructions
• Automatically publish generated videos to your Shopify store's product media galleries
• Manage and store generated videos through Shopify Files

3.2 AI Technology

The Service uses Google Cloud Platform's Vertex AI with the Veo 3.1 Fast model for video generation. Videos are generated based on the images and settings you provide. The quality and characteristics of generated videos depend on:

• The quality and content of source images
• The video generation settings you select
• The capabilities and limitations of the AI model
• Processing conditions at the time of generation

3.3 Service Availability

We strive to maintain continuous availability of the Service but do not guarantee uninterrupted or error-free operation. The Service may be unavailable due to:

• Scheduled maintenance
• Unscheduled maintenance or technical issues
• Third-party service outages (including Shopify or Google Cloud Platform)
• Force majeure events
• Other factors beyond our reasonable control

4. Subscription Plans and Billing

4.1 Subscription Plans

We offer the following subscription plans:

• Free Plan: $0/month
  • No monthly credits included
  • Free trial: 20 credits upon installation
  • Purchase additional credits as needed
• Starter Plan: $29/month
  • 50 monthly credits included
  • 10% discount on credit purchases
  • Billed monthly or yearly
• Growth Plan: $79/month
  • 150 monthly credits included
  • 20% discount on credit purchases
  • Billed monthly or yearly
• Pro Plan: $199/month
  • 400 monthly credits included
  • 30% discount on credit purchases
  • Billed monthly or yearly

4.2 Billing Periods

Subscriptions are available on a monthly or yearly basis:

• Monthly Billing: Recurring monthly charges
• Yearly Billing: Recurring yearly charges with approximately 33% savings compared to monthly billing

Yearly prices:

• Starter: $232/year (billed annually)
• Growth: $632/year (billed annually)
• Pro: $1,592/year (billed annually)

4.3 Free Trial

New users receive 20 credits upon installation of the App. This free trial:

• Is available only once per Shopify store
• Must be used before subscribing to a paid plan
• Expires if not used within a reasonable period
• Does not convert to a paid subscription automatically

4.4 Subscription Activation

When you subscribe to a paid plan:

• Your subscription becomes active immediately upon payment confirmation
• Monthly credits are granted immediately upon subscription activation
• Credits are granted at the beginning of each billing period for ongoing subscriptions
• You gain access to plan-specific discounts on credit purchases

4.5 Plan Changes

You may upgrade or downgrade your subscription plan at any time:

• Upgrades: Take effect immediately, and you will be charged the difference between plans
• Downgrades: Take effect at the end of your current billing period. You retain access to your current plan's benefits until the period ends
• Cancellation: You may cancel your subscription at any time. Your subscription will remain active until the end of your current billing period

4.6 Payment Processing

All payments are processed through Shopify's billing API:

• Payment is charged to the payment method on file with your Shopify account
• Charges occur at the beginning of each billing period
• You authorize Shopify to charge your account on our behalf
• All transactions are subject to Shopify's payment terms and conditions

4.7 Currency

All prices are stated in USD (United States Dollars). If you are located outside the United States, currency conversion and any associated fees are handled by your payment provider.

4.8 Refunds and Cancellations

• Subscription Fees: Subscription fees are non-refundable except as required by law. If you cancel your subscription, you will continue to have access to the Service until the end of your current billing period
• Unused Credits: Unused credits from subscription plans do not carry monetary value and are not refundable
• Credit Purchases: Credit purchases are generally non-refundable, except where required by law or in cases of technical failure as described in Section 5.7

5. Credit System

5.1 Credit Overview

The Service operates on a credit-based system where:

• 1 credit = 1 second of generated video
• Credits are consumed when you generate videos
• Different video durations require different credit amounts:
  • 4-second video: 4 credits
  • 6-second video: 6 credits
  • 8-second video: 8 credits

5.2 Credit Sources

Credits may be obtained through:

• Free Trial: 20 credits upon installation (one-time)
• Subscription Plans: Monthly credits included with paid plans
• Credit Purchases: Additional credits may be purchased at any time
• Refunds: Credits may be refunded if video generation fails (as described in Section 5.7)

5.3 Credit Purchases

You may purchase additional credits at any time:

• Minimum Purchase: 10 credits
• Maximum Purchase: 10,000 credits per transaction
• Base Price: $0.80 per credit
• Volume Discounts:
  • 500+ credits: 10% discount
  • 1,000+ credits: 20% discount
  • 2,000+ credits: 30% discount
  • 5,000+ credits: 40% discount
• Plan Discounts: Additional discounts based on your active subscription plan:
  • Starter: 10% additional discount
  • Growth: 20% additional discount
  • Pro: 30% additional discount

Volume discounts and plan discounts are additive (combined).

5.4 Credit Usage

Credits are deducted from your account balance when you request video generation:

• Credits are deducted immediately when a generation job is created
• Credits are consumed even if video generation fails, except as described in Section 5.7
• Multiple videos may be generated in a batch, and credits will be deducted for all videos in the batch

5.5 Credit Balance

• Credits have no cash value and are non-transferable
• Credits do not expire while your account is active
• Unused credits remain in your account until used
• Credit balances are displayed in your account dashboard

5.6 Subscription Credits

Monthly credits from subscription plans:

• Are granted at the beginning of each billing period
• Do not roll over to the next billing period if unused
• Are in addition to any credits you purchase separately
• Are forfeited upon subscription cancellation (existing balance remains)

5.7 Credit Refunds

Credits may be refunded to your account in the following circumstances:

• Technical Failure: If video generation fails due to technical errors on our part
• Service Unavailability: If the Service is unavailable when attempting to generate a video
• Content Filtering: If video generation is blocked due to content filtering by the AI service provider through no fault of your own (e.g., false positive)

Refunds will be processed automatically in these cases. Credits are not refundable for:

• Videos that generate successfully but do not meet your expectations
• User error (e.g., incorrect settings, wrong image selection)
• Content that is filtered or rejected due to policy violations
• Any reason beyond technical failure of the Service

6. Video Generation Service

6.1 Generation Process

When you request video generation:

1. You provide source images from your Shopify product catalog
2. You select generation settings (duration, product type, quality, custom instructions)
3. Credits are deducted from your account
4. Images are processed through our AI video generation service
5. Generated videos are made available for download and may be automatically published to your Shopify store

6.2 Video Quality and Characteristics

• Videos are generated using AI technology and may vary in quality and characteristics
• Video quality depends on source image quality, settings selected, and AI processing
• We do not guarantee that generated videos will meet your specific expectations
• Videos may require post-processing or multiple generation attempts to achieve desired results

6.3 Supported Video Formats

Generated videos are provided in MP4 format with the following specifications:

• Standard quality: 720p resolution
• High quality: 1080p resolution
• Video compression levels: Low, Medium, High (affects file size and quality)

6.4 Video Duration

Videos can be generated in the following durations:

• 4 seconds
• 6 seconds
• 8 seconds

These are the only supported durations. Video length cannot be customized beyond these options.

6.5 Product Types

The Service supports video generation for various product categories:

• Clothing/Fashion
• Jewelry/Accessories
• Bags/Handbags
• Footwear
• Eyewear/Glasses

Different product types use different AI generation prompts optimized for that category.

6.6 Custom Instructions

You may provide custom instructions to influence video generation:

• Instructions should be clear and specific
• Instructions are processed by the AI model and may be interpreted differently than intended
• We do not guarantee that custom instructions will produce the exact desired result
• Instructions must comply with our Content Policy (Section 8)

6.7 Video Storage

Generated videos:

• May be stored in Shopify Files (your Shopify account's file storage)
• May be added to product media galleries in your Shopify store
• Are subject to Shopify's storage policies and limitations
• Ownership and control of videos stored in Shopify is subject to Shopify's terms

6.8 Auto-Publish Feature

The Service offers an auto-publish feature that:

• Automatically adds generated videos to product media galleries
• May set videos as primary/featured media
• Requires appropriate Shopify permissions
• May be enabled or disabled in your account settings

You are responsible for reviewing published content and ensuring compliance with applicable laws and regulations.

7. User Obligations and Responsibilities

7.1 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Ensuring that only authorized personnel access your account
• Immediately notifying us of any unauthorized access or security breach

7.2 Accurate Information

You agree to:

• Provide accurate, current, and complete information when creating an account or using the Service
• Update your information promptly if it changes
• Ensure that your Shopify store information is accurate and current

7.3 Content Ownership and Rights

You represent and warrant that:

• You own or have the necessary rights, licenses, and permissions to use all images and content you provide to the Service
• Your use of the Service and any content you provide does not violate any third-party rights, including intellectual property rights, privacy rights, or publicity rights
• You have obtained all necessary consents and releases for any individuals or property depicted in images you provide

7.4 Compliance with Laws

You agree to:

• Comply with all applicable local, state, national, and international laws and regulations
• Use the Service only for lawful purposes
• Not use the Service in any way that violates any applicable export control laws or regulations

7.5 Shopify Terms

Your use of the Service is subject to Shopify's Terms of Service and Privacy Policy. You must comply with all applicable Shopify terms and policies when using the Service.

8. Prohibited Uses and Content Policy

8.1 Prohibited Content

You may not use the Service to generate videos that:

• Contain illegal, harmful, threatening, abusive, harassing, defamatory, or libelous content
• Violate any applicable laws or regulations
• Infringe upon the intellectual property rights of others
• Contain explicit sexual content, nudity, or pornographic material
• Depict violence, hate speech, or discriminatory content
• Promote illegal activities or substances
• Violate the rights of minors or depict minors in inappropriate ways
• Contain personal information of others without consent
• Violate any applicable content moderation policies

8.2 Prohibited Activities

You may not:

• Attempt to reverse engineer, decompile, or disassemble the Service
• Interfere with or disrupt the Service or servers connected to the Service
• Use automated systems (bots, scripts, etc.) to access or use the Service without our express written permission
• Attempt to gain unauthorized access to any portion of the Service
• Use the Service to generate spam, unsolicited commercial content, or misleading content
• Impersonate any person or entity or falsely state or misrepresent your affiliation with any person or entity
• Collect or store personal information about other users without their consent

8.3 Content Filtering

The Service uses AI technology that may filter or reject content that violates policies. We reserve the right to:

• Reject video generation requests that violate our Content Policy
• Refuse to process content that we determine may be harmful, illegal, or violate third-party rights
• Suspend or terminate accounts that repeatedly violate our Content Policy

8.4 Consequences of Violations

Violation of these prohibitions may result in:

• Immediate suspension or termination of your account
• Loss of access to credits and subscription benefits
• Legal action where appropriate
• Reporting to law enforcement or other authorities as required by law

9. Intellectual Property Rights

9.1 Our Intellectual Property

The Service, including its design, functionality, text, graphics, logos, icons, images, and software, is the exclusive property of Stacknet Sp. z o.o. and is protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not:

• Copy, modify, distribute, sell, or lease any part of the Service
• Reverse engineer or attempt to extract the source code of the Service
• Remove, alter, or obscure any proprietary notices or labels on the Service
• Create derivative works based on the Service

9.2 Your Content and Generated Videos

Source Images: You retain all ownership rights to images and content you provide to the Service.

Generated Videos: Subject to the rights of third-party AI service providers and subject to these Terms:

• You own the videos generated for you through the Service
• You may use generated videos for any lawful purpose, including commercial use
• You grant us a limited, non-exclusive, royalty-free license to use, store, and process your content solely to provide the Service

Third-Party Rights: Generated videos may be subject to the intellectual property rights of:

• Google Cloud Platform / Vertex AI (as the AI service provider)
• Any third-party content reflected in generated videos

You are responsible for ensuring that your use of generated videos does not infringe upon any third-party rights.

9.3 AI Technology Rights

The AI technology used to generate videos is provided by Google Cloud Platform and is subject to Google's terms and conditions. We do not claim ownership of the underlying AI technology or algorithms.

10. Disclaimers and Limitations of Liability

10.1 Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY, RELIABILITY, OR COMPLETENESS

We do not warrant that:

• The Service will meet your specific requirements
• The Service will be uninterrupted, timely, secure, or error-free
• The results obtained from using the Service will be accurate or reliable
• Any errors in the Service will be corrected

10.2 AI-Generated Content

• AI-generated videos may not accurately represent products or meet your expectations
• We do not guarantee the accuracy, quality, or suitability of AI-generated content
• AI technology has inherent limitations and may produce unexpected or undesirable results
• You are responsible for reviewing and approving all generated videos before use

10.3 Third-Party Services

The Service relies on third-party services, including:

• Shopify for store integration and billing
• Google Cloud Platform / Vertex AI for video generation
• Other third-party infrastructure providers

We are not responsible for:

• The availability, performance, or reliability of third-party services
• Any losses or damages resulting from third-party service outages or failures
• Third-party terms, conditions, or policies

10.4 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL STACKNET SP. Z O.O., ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR:

• ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
• DAMAGES RESULTING FROM YOUR USE OR INABILITY TO USE THE SERVICE
• DAMAGES RESULTING FROM ANY CONTENT OR SERVICES OBTAINED THROUGH THE SERVICE

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim, or $100, whichever is greater.

10.5 Exclusions

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Stacknet Sp. z o.o., its affiliates, directors, officers, employees, agents, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorney's fees) arising from:

• Your use of or access to the Service
• Your violation of these Terms
• Your violation of any third-party right, including intellectual property rights, privacy rights, or publicity rights
• Any content you submit, post, transmit, or make available through the Service
• Your use of generated videos in any manner that violates laws or third-party rights

12. Termination

12.1 Termination by You

You may terminate your use of the Service at any time by:

• Uninstalling the App from your Shopify store
• Canceling your subscription (if applicable)
• Discontinuing use of the Service

12.2 Termination by Us

We may suspend or terminate your access to the Service immediately, without prior notice, for:

• Violation of these Terms
• Violation of our Content Policy
• Fraudulent, abusive, or illegal activity
• Non-payment of fees
• Extended inactivity
• Any other reason we determine in our sole discretion

12.3 Effect of Termination

Upon termination:

• Your right to use the Service immediately ceases
• All outstanding fees and charges become immediately due and payable
• We may delete your account and data, subject to our Privacy Policy
• Unused credits may be forfeited, except as required by law
• Generated videos stored in Shopify remain subject to Shopify's terms

12.4 Survival

The following provisions shall survive termination of these Terms:

• Sections relating to intellectual property rights
• Sections relating to disclaimers and limitations of liability
• Sections relating to indemnification
• Sections relating to dispute resolution
• Any other provisions that by their nature should survive

13. Changes to Terms

13.1 Right to Modify

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Updating the "Last Updated" date at the top of these Terms
• Providing notice through the Service or via email
• Posting a prominent notice on our website or within the App

13.2 Acceptance of Changes

Your continued use of the Service after the effective date of any changes constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service and may terminate your account.

13.3 Material Changes

For material changes, we will provide at least 30 days' notice before the changes take effect. Material changes include:

• Changes to pricing or billing terms
• Changes to subscription plan features
• Changes to credit system or refund policies
• Changes that significantly limit your rights or increase your obligations

14. Governing Law and Jurisdiction

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Poland, without regard to its conflict of law provisions.

14.2 Jurisdiction

Any disputes arising from or related to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Poland, with preference for the competent court in Katowice, Poland.

14.3 EU Consumer Rights

If you are a consumer located in the European Union, you benefit from mandatory consumer protection laws that cannot be waived by contract. Nothing in these Terms limits or excludes any mandatory consumer rights you may have under EU law.

15. Dispute Resolution

15.1 Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to first contact us at contact@veymo.ai to attempt to resolve the dispute informally.

15.2 EU Online Dispute Resolution

If you are a consumer located in the European Union, you may use the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr/ to resolve disputes with us.

15.3 Arbitration

For non-consumers or where required by applicable law, disputes may be resolved through binding arbitration in accordance with Polish arbitration law, unless both parties agree otherwise in writing.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy and any additional agreements you enter into with us, constitute the entire agreement between you and Stacknet Sp. z o.o. regarding the Service.

16.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision unless acknowledged and agreed to by us in writing.

16.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms or any rights hereunder without restriction.

16.5 Relationship

These Terms do not create a partnership, joint venture, employment, or agency relationship between you and Stacknet Sp. z o.o.

16.6 Force Majeure

We shall not be liable for any failure or delay in performance under these Terms due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, internet or telecommunications failures, or government actions.

16.7 Notices

Notices to you may be sent to the email address associated with your account or posted within the Service. Notices to us should be sent to contact@veymo.ai.

16.8 Language

These Terms are provided in English. If these Terms are translated into other languages, the English version shall prevail in the event of any conflict or discrepancy.
